PUBLIC OFFER AGREEMENT FOR THE PROVISION OF PERSONAL CONSULTATION SERVICES

1. General Provisions

1.1. This Agreement constitutes an official public offer (the “Offer”) made by self-employed consultant Iuliia Medvedeva, tax ID MDVLIU80B46Z135E, registered in Milan, Italy (the “Consultant”), to any individual (the “Client”) to enter into a legally binding contract under the terms set out herein.

1.2. The Offer is made in accordance with Articles 1321, 1322, 1326, 1341, 1342, 2575 et seq. of the Italian Civil Code. By accepting this Offer, the Client acknowledges and agrees that the Consultant provides information and advisory services, which may include personal consultations, written advice, strategy sessions, and access to materials prepared by the Consultant.

1.3. The Offer is binding upon acceptance and does not require a bilateral signature. The contract is deemed concluded from the moment of acceptance by the Client.

1.4. Acceptance (the “Acceptance”) of this Offer may be performed by:

  • completing the booking or registration form on the Consultant’s website, followed by payment; and/or

  • transferring the agreed fee directly to the Consultant’s designated bank account or to a third-party account authorized by the Consultant.

1.5. By accepting this Offer, the Client confirms that they have read, understood, and unconditionally agreed to the terms of this Agreement.


2. Subject of the Agreement

2.1. The Consultant agrees to provide the Client with personal consultation services, including but not limited to:

  • individual advisory sessions (online or in person, where applicable);

  • written recommendations and analysis;

  • support materials (e.g. checklists, summaries, templates), if included in the selected service package.

2.2. The specific content, duration, and cost of the consultation or package of consultations are indicated on the Consultant’s website or agreed in writing (including by email or messenger).

2.3. The Client acknowledges that the Consultant provides advisory services only. The Consultant does not guarantee specific results or outcomes, as these depend on the Client’s individual circumstances and actions.


3. Payment Terms

3.1. The cost of the services is published on the Consultant’s website or communicated directly by the Consultant.

3.2. Payment is made in full (100% prepayment), unless otherwise agreed in writing.

3.3. Payment may be made by:

  • credit/debit card or online payment systems available on the Consultant’s website;

  • direct transfer to the Consultant’s bank account;

  • other payment methods agreed by the Consultant.

3.4. The date of payment shall be deemed the date on which funds are credited to the Consultant’s account (or that of an authorized third party).

3.5. Payment itself constitutes Acceptance of this Offer.


4. Rights and Obligations

Consultant’s obligations:

  • to provide the agreed consultation(s) in a professional manner;

  • to respect confidentiality of the Client’s information;

  • to inform the Client in advance of any necessary changes to schedule or service conditions.

Client’s obligations:

  • to provide accurate information necessary for the consultation;

  • to attend scheduled consultations on time;

  • to pay for the services in accordance with Section 3.

Client’s rights:

  • to receive services in line with the purchased consultation or package;

  • to request clarification or additional information related to the consultation;

  • to withdraw from the Agreement under applicable consumer protection laws (Decreto Legislativo 206/2005), provided services have not yet been delivered.


5. Liability

5.1. The Consultant is not responsible for the Client’s subjective assessment of the services, nor for achieving specific results.

5.2. The Consultant is liable only for actual damages up to the amount paid by the Client. Consequential damages or lost profit are excluded.

5.3. Both Parties are exempt from liability in cases of force majeure (e.g., natural disasters, war, regulatory restrictions).


6. Personal Data

6.1. By accepting this Offer, the Client consents to the processing of their personal data by the Consultant, in compliance with EU and Italian law (Regulation (EU) 2016/679 – GDPR).

6.2. Data will be processed for the purpose of fulfilling this Agreement, ensuring communication with the Client, and, where consented, for sending informational updates.


7. Governing Law and Dispute Resolution

7.1. This Agreement is governed by the laws of the Italian Republic.

7.2. Any disputes shall first be resolved by negotiation. If no settlement is reached, disputes shall be submitted to the competent court in Milan, Italy.
